Terms of Service
Last updated: October 21, 2026
These Terms govern your use of siaz.dev (the "Site") and, unless a signed agreement says otherwise, the engineering, theme, app, AI, DevOps, and marketing operations services provided by Tin Le, doing business as SiAZ ("SiAZ," "we," "us"). "You" means the person using the Site or the business that engages us.
1. Using the Site
You may browse the Site and use its content for your own information. Do not copy, resell, or republish its content or design without our written permission. Do not try to disrupt or gain unauthorized access to the Site, scrape it in bulk, or use it to send spam. We may change or take down parts of the Site at any time.
The Site describes our capabilities and commitments. Nothing on it is an offer to contract. Any engagement starts only when both parties sign a proposal, statement of work ("SOW"), or other agreement.
2. Engagements
Each engagement is defined in an SOW that sets out the scope, deliverables, timeline, fees, and acceptance criteria. If an SOW conflicts with these Terms, the SOW controls for that engagement. Changes in scope need written agreement from both parties and may change fees or timelines.
You agree to give us timely access to the information, accounts, and environments we need, and to review deliverables within the agreed acceptance periods. You remain responsible for keeping backups of your systems and data before we deploy changes.
3. Fees and payment
Fees are stated in the SOW, in US dollars unless agreed otherwise. Unless the SOW says otherwise:
- Invoices are due within 15 days.
- Fees exclude taxes, which you pay, other than taxes on our income.
- We may pause work if an invoice is more than 15 days overdue, after giving you written notice.
4. Intellectual property
- Your deliverables. Once you have paid in full, you own the custom code, designs, and documentation we create specifically for you under the SOW.
- Our tools. We keep ownership of tools, libraries, templates, and know-how that we created before or outside the engagement. Where they are part of a deliverable, you receive a perpetual, worldwide, royalty-free license to use, modify, and distribute them as part of that deliverable.
- Open source. Deliverables may include open-source components under their own licenses. We will tell you about any license that limits commercial use before we include such a component.
- Products. Our Shopify apps, themes, and other products are licensed, not sold, under the terms shown when you install or buy them.
5. Confidentiality
Each party will keep the other's non-public business, technical, and financial information confidential. It will use that information only for the engagement and share it only with people who need it and are bound by similar duties. This obligation lasts for five years after the engagement ends, and for as long as the information remains a trade secret.
6. Use of AI tools
We use AI tools to speed up our work under these rules:
- We do not put your secrets or your customers' personal data into prompts.
- We use AI tools only under terms that do not allow the provider to train on your code or data. If you require it, we use models running on infrastructure you control.
- A senior engineer reviews AI-assisted output before it is delivered.
If you require that AI tools not be used on your project at all, state this in the SOW.
7. Warranties
We will perform the Services with reasonable skill and care, consistent with professional industry standards. For 30 days after a deliverable is accepted, we will fix, at no extra charge, any defect that causes it to fail the specifications in the SOW. This is your sole remedy for defects.
Apart from the above, the Site and the Services are provided "as is." To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not responsible for outages or changes in third-party platforms we build on, such as Shopify, WordPress, Wix, Squarespace, Google, Meta, or Cloudflare.
8. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
- Each party's total liability arising from an engagement is limited to the fees paid under the SOW concerned in the 12 months before the claim.
These limits do not apply to liability that cannot be limited by law, including liability for fraud, for gross negligence, for willful misconduct, or for death or personal injury caused by negligence.
9. Term and termination
Either party may end a retainer with 30 days' written notice. Either party may end an engagement immediately if the other party materially breaches it and does not fix the breach within 15 days of written notice. When an engagement ends, you pay for the work done up to that date. We deliver the completed work and remove our access to your systems.
10. Governing law and disputes
These Terms are governed by the laws of Vietnam, without regard to its conflict-of-law rules. The parties will first try to resolve any dispute through good-faith discussion for 30 days. If that fails, the dispute will be finally settled by arbitration at the Vietnam International Arbitration Centre (VIAC) under its rules, seated in Ho Chi Minh City and conducted in English.
If you are a consumer, nothing in these Terms takes away rights you have under the mandatory consumer laws of your country of residence.
11. General
If any part of these Terms is unenforceable, the rest remains in effect. A party does not waive a right by not enforcing it right away. Neither party is liable for delays caused by events beyond its reasonable control. We may update these Terms. The version in effect when an SOW is signed applies to that engagement.
